Terms of Use for UniScan

Welcome to our application (the “App”). These Terms of Use (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and Improvis LLC, operating as UniScan (“we,” “us,” or “our”), concerning your access to and use of our iOS mobile application, Android companion application, Windows desktop application, and any related services.

For the iOS application, these Terms supplement Apple’s Standard Licensed Application End User License Agreement, which governs your license to the iOS application. If these Terms conflict with Apple’s standard agreement, Apple’s standard agreement controls for the iOS application.

By accessing or using the App, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the App and you must discontinue use immediately.

1. Description of Services

The App provides 3D scanning functionalities utilizing the iOS TrueDepth sensor and front-facing camera to generate 3D models. The ecosystem includes:

• iOS Application: Handles the core 3D scanning, processing, local storage, and optional cloud sharing.
• Windows Application: Acts as a desktop companion to offload calculations and process data locally on your PC for enhanced results.
• Android Application: Acts as a remote control and screen-mirroring tool for the iOS device.

2. Intellectual Property Rights

Our Content

Unless otherwise indicated, the App, including its source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us, and are protected by copyright and trademark laws.

Your Content (3D Models)

• You retain all ownership rights in the 3D models you create using the App.
• By using the “Share” feature to upload a 3D model to our servers, you grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, and transmit that specific model solely for the purpose of generating a shareable link and fulfilling your request.

3. User Representations and Restrictions

By using the App, you represent and warrant that:

• You have the legal capacity to comply with these Terms.
• You will not use the App for any illegal or unauthorized purpose.
• Your use of the App will not violate any applicable law or regulation.

You agree not to:

• Reverse engineer, decompile, or disassemble any portion of the iOS, Android, or Windows software.
• Attempt to bypass any measures of the App designed to prevent or restrict access.
• Use the cloud sharing feature to upload any content that is obscene, defamatory, infringing on third-party intellectual property, or otherwise unlawful.

4. Hardware and Connectivity Requirements

• You acknowledge that the core 3D scanning functionality strictly requires a compatible Apple device equipped with a functional TrueDepth camera system.
• Local data transfer to the Windows companion application and screen mirroring to the Android application rely on your local network configuration. We are not responsible for connectivity failures caused by your local Wi-Fi, firewall settings, or hardware limitations.

5. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will we be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, or loss of data arising from your use of the App, even if we have been advised of the possibility of such damages.

The App and all generated 3D models are provided on an “AS-IS” and “AS-AVAILABLE” basis. We make no warranties regarding the absolute accuracy or precision of the 3D models for industrial, medical, or engineering use.

6. Term and Termination

These Terms shall remain in full force and effect while you use the App. We reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the App to any person for any reason, including without limitation for breach of any representation, warranty, or covenant contained in these Terms.

7. Governing Law

These Terms and your use of the App are governed by and construed in accordance with the laws of Armenia, without regard to its conflict of law principles.

8. Changes to These Terms

We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the “Effective Date” of these Terms. It is your responsibility to periodically review these Terms to stay informed of updates.
